These website Terms of Use are the basis for Individuals and Companies using this website. Business Terms (“JobSpire Program Terms and Conditions”) are available to individual users (Individuals) and Companies ("User") that wish to buy Job offer, advertising or web services. This page states the Terms of Use (“Terms”) under which you (“You”) may use the JobSpire website and the JobSpire services (“JobSpire”). The ownership of the website is “JobSpire”, and the Terms relate to all the JobSpire domain names registered throughout the world whereby Jobspire, has ownership of the domain.

1. USE OF JOBSPIRE

By using the JobSpire website and services, You are deemed to accept these Terms and any additional terms, which include services and information, provided by third parties. The website is provided to assist Individuals in finding employment and advertise their CV. The website also provides a facility for Companies to advertise Offers and view CVs online to recruit or source Candidates. It is the responsibility of Individuals to ensure personal information is not stored in the CV uploaded to the website. Failure to remove Your Name and Contact information allows Companies to contact You without first going through the confidential contact form. Please note that we cannot accept any responsibility for the contents of any CV. You may access, print and, where available, download information from the website for these purposes only and for no other personal or commercial purpose. You may not otherwise copy, display, email, fax, transmit or distribute any material from the website. All copyright, trademarks, database rights and other intellectual property rights in the website and the material available on the website belong to JobSpire or its third party suppliers. Use of the website does not give You any proprietary rights in such materials.JobSpire have the right to refuse any advertisement at its discretion without having to give any reason and may stop any User from using the website. Where any trial has been offered, JobSpire has the right to end it without notice and remove any free credits allocated.

11. PROFILE AND CV INFORMATION

You will be requested for a series of information for us to hold and use on the website. This will contain Your Name and contact information, categories and regions, email alert categories and region, emails of invited persons and Your CV, which can be uploaded and created online. By being set active Your information, or selected parts of the information, will be made available to be viewed, printed and downloaded, by way of an online search over the Internet, by Companies. These may be direct recruiters, employment consultants or other organizations, which register for the service. It is Your responsibility to ensure the information in Your CV is accurate and truthful. We accept no responsibility or liability for the contents of any CVs created online or uploaded and expect You to carry out such verification procedures, as they feel necessary.Your current employer may be either a Company of JobSpire or a Company of one of the Agencies that use the website. JobSpire cannot restrict the Companies or Agencies that access CVs on our database and cannot be held responsible for any eventuality. You can choose to opt in and out of making Your information available depending on Your employment requirements from time to time. When You register with JobSpire, You will first register and provide a email and password. You will create Your own User Profile and upload Your CV and we will store the information on our databases. You can update or delete any of the information at any time. A Company can be stopped from viewing Your CV if You have not consented to this within the CV section. It is Your responsibility to ensure that Your CV details are kept up to date and contact details communicated or not. By being set inactive, it stops Your CV being searched and will be archived until You wish to make it active again. We have the right if necessary to remove Your information from the database.Terms of service for the service video JobSpire: JobSpire uses the services of Youtube. You agree that the video is hosted by YouTube service. JobSpire video service is equivalent to the statement that the video does not violate the terms of service YouTube, and that you own all copyrights in this video or have authorization to upload.

12. PROFILE AND JOB OFFER / ADS INFORMATION

You will be requested for a series of information for us to hold and use on the website. This will contain Your Name and contact information, logo, categories and regions, email alert categories and region, emails of invited persons and Your offers, which can be created online. Your information, or selected parts of the information, will be made available to be viewed, printed and downloaded, by way of an online search over the Internet, by our Users.When You register with JobSpire, You will first register and provide an email and password. You will create Your own User Profile and create one or more of Your offers and we will store the information on our databases. You can update or delete any of the information at any time. It is Your responsibility to ensure that Your offers kept up to date their content is correct. By being set inactive, it stops Your offer being searched and will be archived until You wish to make it active again. We have the right if necessary to remove Your information from the database.Terms of service for the service video JobSpire: JobSpire uses the services of Youtube. 13. REGISTRATION

Some areas of the JobSpire service require You to register as a member. If You register to become a member, You agree to provide true, accurate, current and complete information about Yourself as prompted by our registration form (including Your email address) AND will be responsible for the confidentiality and use of Your password and agree not to transfer or resell Your use of or access to the website to any third party. You shall be responsible for all uses of your JobSpire registration and password, whether or not authorized by You. JobSpire will not be liable to You for any direct, indirect, consequential, special or other damage resulting from misusage by third parties of Your password.

14. OWNERSHIP AND RIGHTS

JobSpire does not claim ownership of information, data, text or other materials submitted by third parties (collectively, "Materials"). However, by posting Materials to any area of JobSpire, You grant JobSpire and its designees a worldwide, royalty-free, non-exclusive perpetual, irrevocable and fully sub-licensable license to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform and publicly display such Materials (in whole or in part) and to incorporate such Materials into other works in any format or medium now known or later developed. We shall not be liable for any use or disclosure of any Materials.Database rights and all other applicable copyright and intellectual property rights belong to JobSpire. You acknowledge that You do not acquire any rights in the database or its content and that these terms and conditions govern Your retention and use of the database and its content.

15. INDEMNTY

You agree to defend, indemnify, and hold harmless JobSpire, its affiliates, and their respective officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from any User content or other material You provide to JobSpire, Your use of any JobSpire content, or your breach of the terms of these Terms.

16. GENERAL

JobSpire makes no claims that the JobSpire content may be lawfully viewed or accessed outside of France. Access to the JobSpire content may not be legal by certain persons or in certain countries. If You access JobSpire from outside France, You do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

17. GOVERNING LAW AND JURISDICTION

These Terms and Conditions shall be governed by and construed in accordance with English law and the English courts shall decide all disputes.

18. TERM AND TERMINATION

These Terms will remain in full force and effect while You are a User of JobSpire website at any level. JobSpire reserves the right, at its sole discretion, to pursue all of its legal remedies, including but not limited to removal of your User Content from the JobSpire website and immediate termination of your registration with or ability to access the JobSpire website and/or any other services provided to You by JobSpire, upon any breach by You of these Terms or if JobSpire is unable to verify or authenticate any information You submit to JobSpire. Even after You are no longer a User of the JobSpire website, certain provisions of these Terms will remain in effect.These Terms constitute a binding agreement between You and JobSpire, and is accepted by You upon Your use of this website

JOBSPIRE PROGRAM TERMS AND CONDITIONS

These JobSpire Program Terms and Conditions ("Terms") are entered into by You and "JobSpire". "You" means the party listed on the account You create and You represent You have the authority to agree to this Agreement for that party. You represent and warrant that You are authorized to act on behalf of, and bind to this Agreement, any third party for which You generate Ads/Offer for jobs, CVs or others. You hereby agree and acknowledge:

1. THE PROGRAM

The JobSpire Program ("Program") use is subject to all applicable JobSpire policies, including without limitation the JobSpire Terms and JobSpire policies may be modified at any time. In purchasing Ads/Offers or Services, you are solely responsible for all: all ad content and target URLs, whether generated by or for you; and websites proximately reachable from URLs and your services and products. You shall protect your passwords and take full responsibility for your own, and third party, use of your accounts. JobSpire or Partners may modify, reject or remove any Ad/Offer for any or no reason.

2. AD CANCELLATION

You may independently cancel online any advertisement at any time. JobSpire may immediately cancel the Program or these Terms at any time with notice. JobSpire may modify the Program or these Terms at any time without liability and your use of the Program after notice that Terms have changed indicates acceptance of the Terms.

3. PROHIBITED USES

You shall not, and shall not authorize any party to: generate automated, fraudulent or otherwise invalid impressions or clicks; or advertise anything illegal or engage in any illegal or fraudulent business practice in any state or country where your Ads/Offers are displayed. You represent and warrant that all your information is correct and current; you hold and grant JobSpire your Ads/Offers will not violate or encourage violation of any applicable laws. Violation of these policies may result in immediate termination of this Agreement or your account without notice and may subject you to legal penalties and consequences.

4. DISCLAIMER AND LIMITATION OF LIABILITY

In no event will JobSpire be responsible in contract, tort, negligence or otherwise, for; loss of profits, business, contracts, revenue, goodwill, production and anticipated savings; or any indirect, consequential, special or economic loss of any kind arising from any failure to publish in a timely manner or at all any job advertisement. As required by law, this exclusion does not extend to death or personal injury caused by our negligence. The sole and maximum liability of JobSpire for all direct damages to you shall not exceed the amounts actually paid by you to JobSpire during the most recent three (3) months.

5. PAYMENT AND PRICING

The standard jobs Ads are free.Pay options: You shall be charged based on actual clicks. You waive all claims relating to charges unless claimed within 60 days after the charge (this does not affect your credit card issuer rights). Charges are solely based on JobSpire's click measurements. Refunds (if any) are at the discretion of JobSpire and only in the form of advertising credit for JobSpire Properties. Charges shall be calculated solely based on records maintained by JobSpire. Records on JobSpire could be calculated with some delay, records are visible by being logged on your JobSpire account. JobSpire reserves the right to change prices and costs of its services at any time without notice period in its sole discretion.

6. TERM AND TERMINATION

This Agreement shall commence on the Acceptance Date and shall continue either until terminated or until the End Date is reached if an End Date has been specified. This Agreement may be terminated with immediate effect by either party providing written notice (including without limitation email notice) to the other party.

7. EFFECTS OF TERMINATION AND AD CANCELLATION

You may terminate this Agreement with or without cause at any time by submitting an email by form: http://www.jobspire.in/contact.html. Such termination will take effect three working days after receipt of the email.JobSpire may terminate this Agreement with or without cause at any time and for any reason or no reason. Upon termination of this Agreement your right to use the Service immediately ceases and you acknowledge and agree that JobSpire may immediately delete the files in your account and bar any further access to such files or the Service.

8. ASSIGNMENT and INDEMNIFICATION

You shall indemnify, defend and hold harmless JobSpire, its parents, subsidiaries, affiliates, officers and employees, against all liabilities, claims and expenses that may arise from a breach of this Agreement by you.Any notices to JobSpire must be sent by email to Jobspire via email, and are deemed given upon receipt. Notice to you may be effected by sending email to the email address specified in your account, or by posting a message to your account interface, and is deemed received when sent (for email) or no more than 15 days after having been posted (for messages in your JobSpire interface/account). A waiver of any default is not a waiver of any subsequent default.JobSpire Partners are not legal partners or agents, but are independent contractors.

9. RIGHTS OF THIRD PARTIES

Except as expressly stated otherwise, nothing in this Agreement shall create or confer any rights or other benefits in favor of any person other than the parties to this Agreement.

10. APPLICABLE LAW

The Data Protection Policy and the rest of the Legal Conditions concerning the website are governed by English law.

JOBSPIRE PRIVACY POLICY AND DATA PROTECTION POLICY

1. Information rights

JobSpire fully complies with the legislation in force as regards personal data protection and with the confidentiality agreements concerning its activity. If the User decides to register with JobSpire he or she shall be asked to provide data that is strictly necessary for the website to function according to its purpose, which is to facilitate communication between service suppliers and customers or potential customers, and to inform users of suppliers’ characteristics and reputation among other users.
